Zhandaulet specializes in the field of antitrust, financial, banking and civil law.
Major part of his work is focused on legal support of company acquisition transactions and legal support to clients on the issues of antitrust and banking legislation, including with respect to cross-border payments, currency control and regulation.
Mr. Sholanov actively advises clients on various issues of regulation of different economy branches, including in the sphere of subsoil use, energy sector, securities market, transport, and merchant shipping. He regularly participates in the support of M&A transactions and due diligence of companies from different economy sectors.
In 2021, he graduated from Law School of KIMEP University. Zhandaulet completed his internship with AEQUITAS and joined the team in 2021.

REPRESENTATIVE PROJECTS
Corporate Law
- Advising companies active in the sphere of pharmaceuticals and biotechnologies regarding possibility of localization of activities in Kazakhstan in different organizational legal forms.
- Participated in projects on registration, reorganization and liquidation of legal entities in Kazakhstan, including advice on the issues of liquidation of branches and representative offices of foreign companies.
- Drafting of contracts in connection with corporate transactions, including share or participatory interest sale and purchase agreements, option agreements, etc.
- Drafting of a legal opinion regarding legal capacity of an AIFC participant to issue a guarantee to a parent investment company under a credit line agreement and possibility to enforce judgments of a Swiss court in the jurisdiction of the AIFC and Kazakhstan.
- Participated in projects on establishment and registration of legal entities in the AIFC.
Antitrust Law
- Advising and elaboration of recommendations on compliance with the antitrust legislation on the issues pertaining to regulation of anticompetitive agreements for a number of companies from different economy branches.
- Support of economic concentration and drafting of the required documents for approval of transactions involving acquisition of a number of telecommunication companies, IT companies and companies active in the field of retail.
Financial and Banking Law
- Support of transaction on acquisition of shares of a
micro-finance organization in the course of transformation into asecond-tier bank. - Advice regarding issue of bonds to finance the activities of SPV on acquisition of major tangible assets.
- Participated in projects involving
second-tier banks' activities on support of contracts. - Advising on the possibility and procedure for carrying out exchange and
off-exchange transactions with derivatives. - Advising clients regarding brokerage services.
Miscellaneous
- Advising on the issues of regulation of the procedure for acquisition of sea freighters, including procedure for their registration with the ship registers of Kazakhstan.
- Participated in the projects involving structuring of payments of a transnational group of companies.
